‘Respect decision’: Tata Trusts reacts to N Chandrasekaran’s exit move; panel to select successor

In its first reaction to N Chandrasekaran’s move to step down as Tata Sons Chairman, Tata Trusts said it respects the decision. In a statement issued on Thursday, the trust said its nominee directors received an email from Chandrasekaran on August 12 informing them of his decision.The Sir Dorabji Tata Trust (SDTT) has begun the process of appointing a successor to N Chandrasekaran as chairman of Tata Sons, a day after he announced that he would not seek another term when his current tenure concludes on February 20, 2027.The SDTT said it respected Chandrasekaran’s decision and expressed its appreciation for his leadership and contribution to Tata Sons and the wider Tata Group.“We thank him for his immense contribution during a period of significant change, growth and transformation across the Group,” the trust said.

The trustees passed a resolution to constitute a Selection Committee “as soon as possible” in accordance with the Articles of Association of Tata Sons to recommend a candidate for the chairmanship.The move formally launches the succession process at Tata Sons, bringing clarity after months of uncertainty over Chandrasekaran’s future.The trust also reaffirmed its commitment to ensuring an orderly change in leadership and said it would extend its full support to Tata Sons throughout the transition.“We extend our full support to Tata Sons in ensuring a smooth, timely and orderly transition of leadership, consistent with the values and long-term interests of Tata Sons and the Tata group,” it said.

N Chandrasekaran announces exit intent

N Chandrasekaran’s decision was prompted by the failure of his proposed five-year extension to receive unanimous approval.In his statement, Chandrasekaran said both the Sir Dorabji Tata Trust and the Sir Ratan Tata Trust had unanimously backed a five-year extension of his tenure. The proposal was subsequently endorsed by the Tata Sons Nomination and Remuneration Committee and recommended by the Tata Sons board.The resolution was placed before the Tata Sons board at its meeting on February 24. However, Chandrasekaran said “the proposal was not carried through because one of the Board Members did not support it”. He added, “in the absence of unanimous support, I chose to defer the decision.”Even after six months, the matter remained unresolved.“Tata Sons is a very large institution and there are many strategic projects that are under critical stages of execution,” Chandrasekaran said. “It is not only necessary to have a leader in place to lead the Group beyond Feb 2027, but also clarity on leadership is important for employees, investors, partners and other stakeholders.”He subsequently informed the board that he would not seek reappointment and requested that it “decide on the succession soon to ensure a proper transition.”

Although his term as chairman runs until February 2027, remaining in the role until then depends on his reappointment to the Tata Sons board at the August 18 annual general meeting.Chandrasekaran’s departure comes at a time when the Tata Group is investing heavily and expanding across businesses such as aviation, semiconductors, electronics, digital platforms and other emerging sectors.The change in leadership also coincides with continuing differences between Tata Trusts and Tata Sons. Tata Trusts owns about 66% of Tata Sons, and the group continues to face governance-related issues involving the trusts as well as changes to the composition of the Tata Sons board.During Chandrasekaran’s tenure, the Tata Group’s revenue rose to Rs 13.3 lakh crore in FY26, while the conglomerate also recorded substantial growth in its market value and profits.
